Welcome to Wearmesh. This document is an electronic record in terms of Information Technology Act, 2000 and published in accordance with the provisions of Rule 3 ) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of Wearmesh marketplace platform - www.wearmesh.com (hereinafter referred to as "Platform")

The Platform is owned by Spundan Consultancy & IT Solutions Pvt Ltd, having its registered office at 3rd Floor, Sai Ram Plaza, 315, 63, Mangal Nagar Road, Vishnu Puri Colony, Indore, Madhya Pradesh 452001, India.

Your use of the Wearmesh and services and tools are governed by the following terms and conditions ("Terms of Use") as applicable to the Wearmesh including the applicable policies which are incorporated herein by way of reference. By mere use of the Wearmesh, You shall be contracting with Spundan Consultancy & IT Solutions Pvt Ltd, the owner of the Platform. These terms and conditions including the policies constitute Your binding obligations, with Wearmesh.

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any natural or legal person who has agreed to become a buyer on Platform by providing data while registering on the Platform as Registered User. The term "Wearmesh","We","Us","Our" shall mean Spundan Consultancy & IT Solutions Pvt Ltd and its affiliates.

When You use any of the services provided by Us through the Platform, including but not limited to, (e.g. Product Reviews, Seller Reviews), You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms of Use and shall be considered as part and parcel of this Terms of Use. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. You shall ensure to review these Terms of Use periodically for updates/changes. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform. By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by Wearmesh Policies including but not limited to Privacy Policy as amended from time to time.

This Agreement describes the terms governing your use of the Services provided to you by wearmesh.

  1. DEFINITIONS:

    "Customer" means You or any Person or legal entity that has availed or is using Services by wearmesh or wishes to avail or use the Services by wearmesh. The term Customer shall stand extended to the respective legal representatives, heirs, successors and assigns of the Customer therein as regards the duties, responsibilities, and liabilities hereto.

    “Privacy policy” means the policy of wearmesh in dealing with information that we collect from you and is explained in this Agreement.

    “Service” of “Services” shall mean and include the products and services offered or provided to you either as a customer, or as a person interested in availing the services of wearmesh. It shall include, but not limited to, the wearmesh website and/or the wearmesh Mobile Applications and/or wearmesh Software-as-a-service product and/or the wearmesh Devices and/or through any other digital intervention by wearmesh, and/or any other products and services that may be made available in the future. Various digital interfaces, such as the website or the mobile application or any other digital platforms by wearmesh, as a part of their Services, shall be referred to as “wearmesh Digital Properties” or “Digital Properties”.

    “You” or “Your” means the person described above as a Customer or any other legal entity or person who is contractually obliged to wearmesh by this Agreement.

  2. USER ACCOUNT, PASSWORD, AND SECURITY:

    If You use the Wearmesh Platform, You shall be responsible for maintaining the confidentiality of your Display Name and Password and You shall be responsible for all activities that occur under your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete, We shall have the right to indefinitely suspend or terminate or block access to your membership on the Platform.

    You agree to

    • Immediately notify Wearmesh of any unauthorized use / breach of your password or account and
    • Ensure that you exit from your account at the end of each session.
  3. TERMS OF SERVICE / TERMS OF USE:
    1. Use of Services: You may use the Service, and the information, writings, Content, images and/or any other works that you see, hear or otherwise experience as a part of our Services (singly or collectively, the "Content") solely for your non-commercial, personal purposes and/or to learn about our Services. No right, title or interest in any Content is transferred to you, whether as a result of downloading such Content or otherwise. wearmesh reserves complete title and full intellectual property rights in all Content. Except as expressly authorized by this Agreement, you may not use, alter, copy, distribute, transmit, or derive another work from any Content obtained from the Service, except as expressly permitted by wearmesh.
    2. Trademarks: You are prohibited from using any of the marks or logos appearing throughout our Digital Properties without permission from the trademark owner, except as permitted by applicable law.
    3. Copyright: The Content is protected by Indian and/or foreign copyright laws and belongs to Wearmesh or its partners, affiliates, contributors or third parties. The copyrights in the Content are owned by wearmesh or other copyright owners who have authorized their use for various Services. You may download and reprint Content for non-commercial, non-public, personal use only.
    4. Links to Third-Party Web Sites: Links on our Digital Properties to third party web sites or information are provided solely as a convenience to you. If you use these links, you will leave our Digital Properties. Such links do not constitute or imply an endorsement, sponsorship, or recommendation by wearmesh of the third party, the third-party web site, or the information contained therein. wearmesh is not responsible for the availability of any such web sites. wearmesh is not responsible or liable for any such web site or the content thereon. If you use the links to the web sites of wearmesh affiliates or service providers, you will leave the Site, and will be subject to the terms of use and privacy policy applicable to those websites.
    5. Software: Any software available for download via the Digital Properties is the copyrighted work of wearmesh and/or its licensors. Use of such software is governed by the terms of the end user license agreement that accompanies or is included with the software. Downloading, installing, and/or using any such software indicates your acceptance of the terms of the end user license agreement.
    6. Linking to this Site: If you would like to link to our Digital Properties, you must follow the respective guidelines. Unless specifically authorized by wearmesh, you may not connect "deep links" to our Digital Properties, i.e, create links to this site that bypass the home page or other parts of our Digital Properties. You may not mirror or frame the home page or any other pages of our Digital Properties on any other web site or web page.
    7. User Conduct: You agree to use the Digital Properties only for lawful purposes. You agree not to take any action that might compromise the security of the Digital Properties, render the Digital Properties inaccessible to others or otherwise cause damage to the Digital Properties or the Content. You agree not to add to, subtract from, or otherwise modify the Content, or to attempt to access any Content that is not intended for you. You agree not to use the Digital Properties in any manner that might interfere with the rights of third parties.
    8. Indemnification: You understand and agree that you are personally responsible for your behavior on the Digital Properties. You agree to indemnify, defend and hold harmless wearmesh, its parent companies, subsidiaries, affiliated companies, joint ventures, business partners, licensors, employees, agents, advisors and any third-party information providers to the Service from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys' fees, resulting from or arising out of your use, misuse, or inability to use the Digital Properties, the Service, or the Content, or any violation by you of this Agreement.
    9. Unsolicited Idea Submission Policy: wearmesh or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, marketing strategies, new or improved products, technologies, services, processes, materials, or new product names. We have found this policy necessary in order to avoid misunderstandings should wearmesh business activities bear coincidental similarities with one or more of the thousands of unsolicited ideas offered to us. Please do not send your unsolicited ideas to wearmesh or anyone at wearmesh. If, in spite of our request that you not send us your ideas, you still send them, then regardless of what your posting, email, letter, or other transmission may say, (1) your idea will automatically become the property of wearmesh, without any compensation to you; (2)wearmesh will have no obligation to return your idea to you or respond to you in any way; (3) wearmesh will have no obligation to keep your idea confidential; and (4) wearmesh may use your idea for any purpose whatsoever, including giving your idea to others. However, wearmesh does welcome feedback regarding many areas of wearmesh Services that will help satisfy customer's needs, and feedback can be provided through the many listed contact areas on the Digital Properties. Any feedback you provide shall be deemed a Submission under the terms of this Agreement.
    10. Disputes, Governing Law and Jurisdiction: This Agreement shall be governed by Indian laws, notwithstanding its conflict of laws provisions, and shall be subject to the exclusive jurisdiction of the Courts of New Delhi. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under The Arbitration and Conciliation Act, 1996. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be New Delhi, India.
    11. User Supplied Information:: wearmesh does not want to receive confidential or proprietary information from you via its Digital Properties. You agree that any material, information, or data you transmit to us or post to the Digital Properties (each a "Submission" or collectively "Submissions") will be considered non confidential and non proprietary. For all Submissions, (1) you guarantee to us that you have the legal right to post the Submission and that it will not violate any law or the rights of any person or entity, and (2) you give wearmesh the royalty-free, irrevocable, perpetual, worldwide right to use, distribute, display and create derivative works from the Submission, in any and all media, in any manner, in whole or in part, without any restriction or responsibilities to you.
    12. Non-Disclosure, Non-Compete, Non-Solicitation: You agree not to indulge in any act, deed or thing that could be a willful disclosure of confidential and/or proprietary information or compete with the business of the wearmesh. You further agree not to solicit any staff or personnel of wearmesh whom you may interact with in providing Services to you.
    13. Waiver: A waiver of any breach of this Agreement is not a waiver of any other breach. Any waiver must be in writing and signed by an authorized representative of the waiving party.
    14. General: This Agreement is the entire agreement between you and wearmesh and replaces all prior understandings, communications and agreements, oral or written, regarding its subject matter. If any court of law, having the jurisdiction, rules that any part of this Agreement is invalid, that clause will be removed without affecting the remainder of the Agreement. The remaining terms will be valid and enforceable. You cannot assign or transfer ownership of this Agreement to anyone (except as expressly stated herein) without the prior written approval of wearmesh. However, wearmesh may assign or transfer it without your consent to: (a) an Affiliate, (b) another company through a sale of assets by wearmesh, or (c) a successor by merger. Any assignment in violation of this clause shall be void. If you want to request a transfer of this Agreement or if your company is acquired by or merged into another company, contact wearmesh via an email to: support@wearmesh.com
  4. LIMITAION OF LIABILITY:

    In no event shall Wearmesh be liable for any indirect, punitive, incidental, special, consequential damages or any other damages resulting from:

    • the use or the inability to use the Services or Products
    • unauthorized access to or alteration of the user's transmissions or data
    • breach of condition, representations or warranties by the manufacturer of the Products
    • any other matter relating to the services including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Platform or Service. Wearmesh shall not be held responsible for non-availability of the Wearmesh during periodic maintenance operations or any unplanned suspension of access to the Wearmesh. The User understands and agrees that any material and/or data downloaded at Wearmesh is done entirely at Users own discretion and risk and they will be solely responsible for any damage to their mobile or loss of data that results from the download of such material and/or data. To the maximum extent that is permissible under law, Edukop's liability shall be limited to an amount equal to the Products purchased value bought by You. Wearmesh shall not be liable for any dispute or disagreement between Users.
  5. PRIVACY POLICY:

    This Privacy Policy (“Privacy Policy”) explains how personal information about you is collected, used and disclosed by us. This Privacy Policy applies to information we collect when you access or use our Services or Digital Properties. We are fully committed to respecting the privacy of all personal information received through the Digital Properties and the Services that you may use. We may change the provisions of this Privacy Policy at any time and will indicate when changes are made by revising the date of this policy. We encourage you to review the Privacy Policy whenever you access the Services to stay informed about our information practices.

    1. Security: We will take commercially reasonable measures to help protect your personal information to prevent loss, misuse and unauthorized access, disclosure, alteration and destruction. All the information we have about you is controlled by the relevant laws of the land as applicable. We will keep the information we need to maintain contact with you and to provide the Services to you. We will ensure our best efforts to maintain the security and confidentiality of your data. wearmesh cannot, however, ensure or warrant the security of any information you transmit to us for the Service or store on our Digital Properties, and you do so at your own risk. wearmesh also cannot guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. If wearmesh learns of a security system breach, then wearmesh may, if possible, attempt to notify you electronically so that you can take appropriate protective steps. wearmesh may post a notice through the Service if a security breach occurs. Depending on where you live, you may have a legal right to receive notice of a security breach in writing. To receive a written notice of a security breach you should notify us at support@wearmesh.com
    2. Types of Information we Collect: When you access or use our Services or our Digital Properties, we may also automatically collect quantitative and qualitative data information about you, including:
      1. Personal information: This relates to individual data captured by Digital Properties, for instance when registering as a member or user, or as a member accessing the member's area and requests for information. This information is that which can be used to uniquely identify or contact a single person (such as an individual's name, address, telephone number or e-mail address or any other unique identification parameter), information about that individual or such individual's activities or preferences when such information is directly linked to personal information and any other contact or identifying information you choose to provide. Personal information does not include aggregate information, which is data we collect about the characteristics and activities of users of the Services, from which any personal information has been removed. This Privacy Policy in no way limits or restricts our collection of aggregate information or of non-personal information. We take users health data (HR, BP,BT,SPO2) and health parameters including height and weight, DOB, Mobile number, email id. We are taking this data to calculate the health status of the user. This is for reference and indicative purpose only. In case you wish to completely remove your account and erase your data, You may ask us to delete or remove your Personal Data through email at support@wearmesh.com
      2. Log Information: We collect log information as to how and why you use our Services, when you install, download, including your access times, communicate with us via third party social media sites, request customer support, or otherwise communicate with us, browser type and language, and Internet Protocol address.
      3. Cookies: We use cookies solely for the purpose of identifying those who contact us and to provide secure personalized access. We use various technologies to collect information, and this may include sending cookies to your computer or tab or mobile or any other relevant device. Cookies are small data files stored on your device. Among other things, cookies help us improve our Services and your experience, understand which sections and features of our Services are popular and count visits. Most browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove or reject browser cookies. Please note that if you choose to remove or reject cookies, this could affect the availability and functionality of our Services.
      4. Location Information: When you use our Services, we will collect information about your location. This will be used for alerting the Users or their authorized persons or for healthcare experts and relevant third parties for providing the Services during emergencies.
      5. Device Information: We collect device-specific information when you access our Services, including your hardware model, operating system and version, unique device identifiers, and mobile network information.
      6. Third Party Analytics: We may allow third parties to use cookies, web beacons and other devices or technologies to provide analytics services and serve advertisements in connection with the Services. The information collected by these third parties typically includes your IP address, the browser you use to visit our Digital Properties, pages viewed, time spent on pages, links clicked, and conversion information. This information may be used by us and third parties to, among other things, analyze and track data, determine the popularity of certain content, deliver advertising and content targeted to your interests and better understand the usage and visitation of our Digital Properties and other sites tracked by these third parties. This Privacy Policy does not apply to, and we are not responsible for, third party cookies, web beacons or other tracking technologies and we encourage you to check the privacy policies of these third parties to learn more about their privacy practices. We use certain analytical tools and services (such as Google Analytics and others) to gather, store and collate information on our visitors and users. It tells us how many unique visitors or users have accessed our services, the pages visited and the quality of access in what order and for how long etc. The service providers may only report on aggregate visitor data in anonymous form and do not collect personal information like addresses, names, or credit card numbers.
      7. Web Beacons: We may also collect information using web beacons (also known as “gifs,” “pixel tags” and “tracking pixels”). Web beacons are electronic images that may be used in our Services or emails. Web beacons are used to monitor user activity, deliver cookies, collect information, count visits, understand usage and campaign effectiveness and to indicate if an email has been opened and acted upon.
    3. Using Information: We use information collected through our Services or through our Digital Properties for purposes described in this Privacy Policy or otherwise disclose to you on or in connection with our Services. We will use your personal information to inform and deliver requested information, services, progress, developments at our end. If we are required to make any changes to the way we use your personal information we will inform you accordingly. For example, we may use your information to:
      • Operate and improve our Services
      • Provide and deliver the products and services you request and send you related information
      • Respond to your comments, questions and requests and provide customer services
      • Monitor and analyze trends, usage and activities in connection with our Services; and
      • Provide personalized content and information
    4. Sharing Information: We may share/ use/ monetise personal information, save that which is proprietary in connection with the Services for any purpose with third parties without consent and users may request not to receive emails at any time by contacting us. When members leave we delete the information on your membership, and keep other information only as long as necessary for accounting and audit purposes. We may also share aggregated or anonymized information that does not directly identify you. We will share information with your consent, including if we notify you through our Services that the information you provide will be shared in a particular manner and you provide such information; With third party vendors, consultants and other service providers who are working on our behalf and need access to your information to carry out their work for us; If we have a good faith belief that disclosure is reasonably necessary to comply with any applicable law, regulation, legal process or government request; enforce our agreements, policies and Terms of Service; protect the security or integrity of our Services; and protect us, our users or any third party from harm; In connection with, or during negotiations of, any merger, sale of company assets, financing or acquisition of all or a portion of our business to another entity or third party; and in good faith, as appropriate or necessary to:
      • take precautions against liability,
      • protect ourselves or others from fraudulent, abusive, or unlawful uses or activity,
      • Rinvestigate and defend ourselves against any third-party claims or allegations,
      • protect the security or integrity of the Service and any facilities or equipment used to make the Service available, or
      • protect our property or other legal rights (including, but not limited to, enforcement of our agreements), or the rights, property, or safety of others.
    5. Social Sharing Features: The Services may offer social sharing features (such as the “Like” or “Share” of “Follow” button or any other such tools/features to be used in future) or other tools which let you share actions you take on our Services with other websites, apps and vice versa. The use of such features enables the sharing of certain information with your friends or the public, depending on the settings you establish with the third party that provides the social sharing feature. For more information about the purpose and scope of data collection and processing in connection with social sharing features, please visit the privacy policies for the third parties that provide these social sharing features.
    6. Privacy Settings: Although wearmesh may allow you to adjust your privacy settings to limit access to certain personal information, please be aware that no security measures are perfect or impenetrable. wearmesh is not responsible for circumvention of any privacy settings or security measures on the Service. Additionally, wearmesh cannot control the actions of other users with whom you may choose to share your information. Further, even after information posted on the Service is removed, caching and archiving services may have saved that information, and other users or third parties may have copied or stored the information available on the Service. wearmesh cannot and do not guarantee that information you post on or transmit to the Service will not be viewed by unauthorized persons.
    7. Changes and Updates to this Policy: Please revisit this page periodically to stay aware of any changes to this Policy, which wearmesh may update from time to time. If we modify the Privacy Policy, we will make it available through the Service, and indicate the date of the latest revision. If the modifications materially alter your rights or obligations hereunder, we will make reasonable efforts to notify you of the change. For example, we may send a message to your email address, if wearmesh has one on file, or generate a pop-up or similar notification when you access the Service for the first time after such material changes are made. Your continued use of the Service after the revised Privacy Policy has become effective indicates that you have read, understood and agreed to the modified version of the Policy.
  6. TERMINATION:
    • Wearmesh may suspend or terminate your use of the Wearmesh or any Service if it believes, in its sole and absolute discretion that you have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Service or anyway otherwise acted unethically. Notwithstanding anything in this clause, these Terms of Service will survive indefinitely unless and until Wearmesh chooses to terminate them.
    • If You or Wearmesh terminates your use of the Platform or any Service, Wearmesh may delete any content or other materials relating to your use of the Service and Wearmesh will have no liability to you or any third party for doing so. However, your transaction details may be preserved by Wearmesh for purposes of tax or regulatory compliance.
    • Wearmesh may unilaterally terminate Your account on any event as mentioned in the Terms Of Use. Any credits earned through loyalty or referral program, Wearmesh credit and pending refunds if any will be forfeited in such case. Returns/Refund for such Users shall be at the sole discretion of Wearmesh.
    • If You use any false e-mail address or use the portal for any unlawful and fraudulent purposes, which may cause annoyance and inconvenience and abuses any policy and rules of the company or mislead Wearmesh by sharing multiple address and phone numbers or transacting with malafide intentions then Wearmesh reserves the right to refuse access to the portal, terminate accounts including any linked accounts without notice to you.
  7. GOVERNING LAW:

    These terms shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws principles and disputes arising in relation here to shall be subject to the exclusive jurisdiction of courts, tribunals, fora, applicable authorities at Indore. The place of jurisdiction shall be exclusively in Indore.

    The data readings provided by the Wearables and the Smartphone Application (“App”) are for indicative reference purpose only and does not substitute any professional medical advice. It is always advisable to consult a medical professional or a qualified healthcare practitioner for seeking any medical advice, diagnoses, or treatment.

    WE ARE NOT RESPONSIBLE FOR ANY MEDICAL OR MENTAL HEALTH PROBLEMS YOU MAY FACE AS A RESULT OF AVAILING OR USING SERVICES.

    WE DO NOT WARRANT THE VALIDITY, ACCURACY, COMPLETENESS, SAFETY, LEGALITY, QUALITY, OR APPLICABILITY OF THE CONTENT OR ANYTHING SAID OR WRITTEN.

    WE DON'T PROVIDE PERSONAL DIAGNOSIS, TREATMENT.

    Our services do not constitute the practice of medicine, and consultations cannot be used for providing a formal medical diagnosis, for a physical examination, for obtaining prescriptions, or for treatment.     For availing the Services, wearmesh requires information such as your mobile number and/or your email address for providing access to the Services. You hereby agree to provide your details as may be requested from time to time to be able to avail the Services. wearmesh may also require your other personal health related information to be able to provide you the Services.
